Terms of service

Version 2, in effect from 2026-10-31

1. Who this agreement is between

These terms are an agreement between Divvent ([company form, number and registered office to be completed]) (“Divvent”, “we”) and the company or organisation that signs up (“the Customer”, “you”). The person who accepts them confirms that they may bind the Customer.

They apply together with the Data Processing Agreement, which governs personal data we process for you, and the Privacy Policy, which describes personal data we process for ourselves. Where they conflict about personal data, the Data Processing Agreement prevails.

2. What Divvent provides

Divvent turns a description of how a business works into a working software application (“an Application”), deploys it to a Cloudflare account that belongs to the Customer, and keeps it running and up to date as the Customer asks for changes.

A change is proposed — by the Customer, or by an AI model on the Customer’s request — and is shown to the Customer, with what it does to their data and to who may see what, before anything is deployed. A change that could remove data or widen access needs the approval the portal asks for.

We may improve the platform over time. A platform update is rehearsed before it reaches a live Application, as the Data Processing Agreement describes.

3. Your account

You must give accurate details, keep sign-in credentials secret, and use a second factor as the portal requires. You are responsible for what is done by the people you invite, within the roles you give them.

You choose where your Applications’ data is stored when you create your company (the Data Residency section of the Data Processing Agreement). That choice applies to every Application and every copy made of its data.

4. Your data and your Applications

The data your Applications hold is yours. It is stored in the hosting account Divvent holds for you, in the UK/EU region, and Divvent’s platform does not read it. You grant us only the rights we need to build, deploy, operate, back up and support your Applications.

The description of your business (the model) is yours. You may export your data at any time.

You must have a lawful basis for the personal data you put into your Applications, and you must not use Divvent for anything unlawful, to store data you have no right to hold, or to attack, overload or probe any system.

5. AI

Divvent uses an AI model to propose changes. A proposal is never applied without the approval the portal asks for, and the compiler — not the model — decides what a change does. The model is sent the words of your request and the structure of your Application, never the records in it.

A proposal may be wrong. You are responsible for reviewing what you approve.

6. Acceptable use of the assistant

The assistant is for building and running your own Applications: describing your business, and asking for changes to it. It declines anything else, and you must not try to make it do anything else.

The assistant uses an AI model from our model provider, Anthropic, and how it is used must also follow Anthropic’s Usage Policy (anthropic.com/legal/aup), which you agree to for yourself and for the people you invite. In particular, nobody may use it, or try to use it: to seek help with weapons that can cause mass casualties, whether chemical, biological, radiological, nuclear or explosive; to write or spread malicious code, or to attack or break into any system; to harm, harass, exploit or deceive people, children above all; to break the law, or to help somebody else break it; or to get around its safeguards or these limits.

Every request to the assistant is sent with an identifier for the person who made it. The identifier does not contain their name or address, but we can tell from it who they are and which company they belong to. We record when a request is declined. Where our model provider asks us to look into or act on misuse, we may share that identifier with them, and what we know about how the assistant was used.

We may pause the assistant for a person, for your company or for everybody, at once and without notice, where we reasonably believe these limits have been broken or to protect the service, and we may end this agreement under section 11 for a serious breach. When we pause it for somebody in your company we tell your owners, and why; the rest of Divvent keeps working. An owner may also pause the assistant for a member of your company.

You are responsible for what the people you invite ask the assistant.

7. Plans, trials and payment

A trial is free for the period and within the limits shown when it starts. After it, a plan is paid in advance at the price shown when you choose it. Prices exclude VAT.

If a payment fails and is not made good in the period the portal states, your account becomes read-only: your Applications keep running and your data stays yours, but no changes are made until payment is up to date.

8. Availability and support

We aim to keep the platform available and to fix faults promptly, but we do not guarantee uninterrupted service. Your running Applications do not depend on the Divvent platform to keep serving: they run in your own account.

9. Security

We protect the platform as the Data Processing Agreement describes. Report a vulnerability to security@divvent.co.uk; our disclosure policy is published at divvent.co.uk/security.

10. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Otherwise, neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill, and each party’s total liability in any twelve months is limited to the fees the Customer paid in those twelve months.

11. Ending the agreement

You may stop at any time. We may end the agreement on thirty days’ notice, or at once if you materially breach it and do not remedy the breach within fourteen days of being asked.

When it ends, you may export your Applications and data during the export window, after which the hosting account Divvent holds for you, and everything in it, is deleted. We delete what we hold for you as the Data Processing Agreement describes.

12. Changes to these terms

We publish every version of these terms with its number and the day it takes effect. We tell you of a material change at least thirty days before it takes effect, and ask an owner of your company to accept it; until they do, your account can be read but not changed. A change that is not material takes effect when it is published.

13. Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
